cant install yes another

ok, i have a athlon 3200 64 bit proc. 1.5 gig of ram, 80 gig hd. gigabyte mobo. and when i run the disk on boot, it says loading windows files, the bar fills up all the way accross the screen, then the system reboots, and asks to bot from cd again, if you say no, it boots my xp install, if you say yes, it does the same thing with the loading windows files, and this goes on forever. it never gets to intalling anything, any help would be greatly appreciated.
